About the Platform and Services Provided

Zipmeds Digital Private Limited ("Zipmeds," "Company," "we," "us," or "our") operates the Platform. Our registered office is located at WeWork Lightbridge, Hiranandani Business Park, Saki Vihar Rd, Tunga Village, Chandivali, Powai, Maharashtra 400072, India.

Platform Role and Intermediary Status

The Platform is an online marketplace and has partnered with hyperlocal Pharmacies who hold the applicable licenses under the Drugs and Cosmetics Act, 1940.

Zipmeds is a technology intermediary/facilitator that facilitates the following Services:

• Online Sale and Purchase of Products: Facilitating the sale of conventional and alternative pharmaceutical products (excluding Schedule X drugs) and wellness products.
• Online Medical Teleconsultation Services: Offered by third-party independent registered medical practitioners (“Third Party RMP/s” or “Doctors”).
• Delivery of Products: Facilitated by independent third-party delivery partners (“Third Party Delivery Partners” or “Logistics Service Providers”).
• Online Medical Equipment: Medical equipment sale and rental.

Zipmeds is not a party to the contract of sale of Products; this is strictly a bipartite contract between the Seller (retail pharmacies, licensed distributors, etc.) and the Buyer (You/User). The Company does not manufacture or produce the listed Products. Please note that Zipmeds is only a facilitator for Buyers to identify, choose and purchase the required SKU’s on its platform while the product / item will be Invoiced by the respective Sellers (partner Pharmacy / distributors). Zipmeds may or may not use third party delivery partners to execute the last mile delivery.

User Eligibility and Account Registration

Eligibility Requirements

You confirm that you are eighteen years or above and are not debarred by any law to contract. You must have the capacity to enter into a legally binding contract under Indian law.

Account Requirements

• You must provide accurate, current, and complete registration information and update it promptly if changes occur.

• Goods and services purchased are intended for your personal use and are not for resale.

Pricing and Product Information

• Products are generally sold at MRP unless otherwise specified. Prices are subject to change, and the price applicable and levied is that of the date of delivery.
• In the case of commodities and fresh food, if prices fluctuate (higher or lower) on the actual date of delivery, additional charges will be collected or refunded/adjusted from the wallet balance.
• Product images are for reference only and are a creative visualization. Actual product packaging, size, weight, and MRP may contain different information. You are recommended not to rely solely on the information presented on the Platform.
• Certain perishable products (like milk, bread, eggs, fruits, vegetables) require consumption or storage in accordance with manufacturer instructions or particular temperature levels which is to be maintained by the Sellers.

Transfer of Property and Delivery

• The sale of Products and Services is concluded at the concerned brick and mortar store (physical store), specifically Star Medico Chemist & Supermarket Nahar & Star Medico Chemist & Supermarket Raheja, both of which operates under the supervision of registered pharmacists.
• Property and title in the Products transfer immediately to You upon dispensation and the raising of the invoice at the concerned brick and mortar store.
• The courier/delivery personnel, engaged by the physical store or third party partners, act as Your Agent for the delivery of the Products. The Company is merely facilitating this service and holds no additional liability or obligation apart from standard mediatory & online marketplace obligations and duty of care.

Product Warranties and Complaints

• The Platform is a reseller. The Manufacturer/Producer shall be solely responsible for any warranty/guarantee of the products sold.
• The Platform disclaims all liability that may arise due to issues with the products.
• In case of Buyer complaints regarding efficacy or quality, the Platform will notify the concerned Manufacturer, Producer, Vendor, pharmacy or distributor, who shall be liable for redressing the complaint.

Specific Terms for Prescription Drugs

Purchase Process

To purchase Prescription Drugs, you must upload a scanned copy of a valid medical prescription.

• The Platform/Seller Pharmacy will only dispense the quantities specified.
• The prescription will be verified, and any discrepancy observed may lead to order cancellation.
• You must make the original prescription available (if required) at the time of delivery.

Substitution of Prescribed Drugs

An order for an alternate prescription medicine would only be processed if:

• A registered medical practitioner has permitted/approved/provided consent for an equivalent generic drug (with similar composition) to be dispensed; OR
• The prescription lists the active pharma ingredient/salt names instead of a specific brand name, and dispensation is certified/approved by a registered medical practitioner;

If a prescription is invalid or the drug is unavailable, the user may either avail online tele-consultancy to get an alternate prescription, or a registered pharmacist may call to suggest an alternate drug, which must then be confirmed and vetted by a third-party RMP.

Financial Terms and Payment

Payment Methods and Facilitation

All payments must be in Indian Rupees. Accepted payment methods include credit/debit card, net banking, UPI payments, and Closed Wallet Transactions. Payment upon delivery (cash or card) is also permitted if specified by the Platform.

The payment facility is a facilitator providing electronic, automated online payment and remittance, and is neither a banking nor financial service.

Charges and Fees

You agree to pay the total amount for the Order, including any additional charges and/or applicable taxes. Zipmeds, Sellers, and/or Logistics Service Providers reserve the right to levy additional fees such as convenience fees or handling fees, and any other such fees, the particulars of which will be made available at checkout.

The Platform explicitly disclaims all liabilities that may arise as a consequence of any unauthorized use of credit/debit cards.

Promotions and Wallet

Coupons and Offers

• Generally, no two coupons can be clubbed in one transaction. Coupons may be non-transferable and come with an expiry date.
• Discounts and promotions may be provided, which can be time-bound, value-bound, or applicable to select users based on criteria like purchase frequency, value, or referral programs.
• To be eligible for a brand offer, the user must add the specific SKU of the brand to their cart.
• A brand offer may be applicable to 1 st time users who download and add the brand SKU and place an order and purchase and also fall amongst the first 5000 users.

Wallet Benefits

• Orders of prescription medicines exceeding Rs 499 in a single order are entitled to an additional 5% discount (calculated only on prescription medicines), credited to the user's wallet.
• Wallet points are valid for 30 days from the earning date.
• Users can redeem a maximum of 250 points per transaction (1 wallet point = Rs 1).
• A cashback of Rs 50 is credited to the wallet for the very first download and order, redeemable at checkout. This is applicable for a limited period only and will be at the sole discretion of the Company.
• The Platform reserves the right to close such offers without notice to the users / consumers

Cancellation, Returns and Refunds

User Cancellation

• Terms of Use: After making an online subscription or payment, a customer cannot cancel their order or delivery.
• Buyer T&C: You may cancel an order without charge before the Seller packs the order. Once the pharmacy confirms the order, cancellation by the user is not permitted.
• If an item is unavailable, the Platform will notify you, and you are entitled to cancel the order/subscription in part or full and receive a refund.

Platform/Seller Cancellation

The Platform or Seller reserves the sole right to cancel an Order due to circumstances including:

• The designated address being outside the delivery zone.
• Failure to contact you by phone or email for confirmation.
• Lack of information, direction, or authorization from you at the time of delivery.
• Unavailability of all ordered items or lack of stock.
• Delivery personnel being denied entry to your premises, or force majeure events.
• The Logistics Service Provider not being available to perform the services.

Refund Details

• Refunds are only issued if the order was pre-paid and certain conditions are met (e.g., tampered packaging refused at delivery, or cancellation due to platform factors).
• For cash on delivery, you are not required to pay for orders where packaging is tampered/damaged/spilled, a wrong order is delivered, or to the extent of the value of missing items.
• Refund decisions are at the sole discretion of the Platform and are final and binding. Refunds are credited to the original source of payment (or occasionally the user's wallet) within 3-21 working days.

Returns

You are entitled to return the product in cases of: (i) wrong order being delivered, or (ii) item being substantially damaged or deteriorated in quality. No returns shall be accepted after the packaging of the product is opened or the product is consumed, either in part or otherwise.

Other Deductions

When a payment of fee is made to the Platform, the fees paid in advance is retained by the Platform. In the event of a Return to the user, the platform may deduct certain fees like payment gateway transaction fees, cost of resources and manpower spent on delivering the service/product which are non-remittable in nature. Further, we cannot Return or credit any money paid to the government entities (if any) and/or to other third parties with a role in processing your order such as payment gateway fees etc.

Teleconsultation and Healthcare Services

The Company facilitates healthcare products and services, but it does not provide any kind of telemedical consultation. Consultation services are fulfilled by third-party RMPs (Doctors) who are independent contractors.

Risks and Limitations

• RMPs will not be physically inspecting you and may not have full access to your medical history. The Services are therefore distinct from typical diagnostic and therapeutic options.
• Any diagnosis-related advice is often restricted and provisional, and it does not substitute a real doctor-patient relationship or face-to-face contact.
• RMPs rely solely on the information you submit. Any false, misleading, or incomplete information will cause the medical opinion to be immediately revoked.
• Consultation services are not for use in medical emergencies or critical health situations.
• You agree and acknowledge that the exchanges between the RMPs and You (including e-prescriptions) may be recorded and preserved for quality assurance, monitoring, and compliance purposes.
• Zipmeds is not responsible and shall not be held liable for any advice, consultation, or loss arising from your engagement with third-party RMPs.

Shipping Policy

General clauses:

• An intimation to be sent to mobile number and/or email as well as a notification on the mobile app and My Order section of the website as soon as the order is placed.
• Zipmeds dispatches the medicines, subject to its availability within the same day to all serviceable Pincodes and the next day for any other pincodes within Mumbai juristiction and the same is communicated to the customers via a notification / whatsapp communication or SMS.
• Priority shipping options are given based on the availability of medicines and urgency of procurement of medicines. In case priority shipping is to be claimed, you can write an email at contact@Zipmeds.app subject indicating order number and priority.
• We try our best to deliver your medicines within time frame but in the event of any unexpected or unwarranted situations or area being non-serviceable, there could be a delay or cancellation of the order
